14.1 Definition of Force Majeure Force Majeure means unforeseen events or circumstances beyond the reasonable control of either party and which, despite the exercise of due diligence, neither party is able to prevent or overcome, including but not limited to: acts of God (natural disasters, earthquakes, floods, storms, lightning, extreme weather); epidemics or pandemics; landslides and geological events; industrial disputes, strikes, lockouts, work stoppages; acts of war, armed conflict, terrorism, blockades, insurgency, civil disturbances, riots, or civil unrest; government sanctions, embargoes, or restrictive actions; and explosions or similar catastrophic events. 14.2 Geopolitical and Supply Chain Disruptions The parties recognize that significant geopolitical risks exist in international supply chains, particularly in the context of Middle East tensions, sanctions regimes, and maritime security restrictions. Force Majeure shall specifically include: • Closure, restrictions, or advisories affecting the Strait of Hormuz, Red Sea, Suez Canal, Panama Canal, or other critical maritime chokepoints, which necessitate rerouting of shipments via alternative longer routes (such as the Cape of Good Hope) and cause significant delays and cost increases. • Imposition of secondary sanctions by any government on manufacturers, suppliers, shipping companies, or related entities, preventing normal procurement or supply. • Port closures, blockades, or severe restrictions on shipping due to military conflict, terrorism, or government action. • Manufacturer shutdowns, production halts, or export restrictions imposed by any government on countries of origin of PV equipment. 14.3 Notice of Force Majeure If either party is temporarily unable to meet its obligations due to Force Majeure, that party shall provide written notice to the other party within three (3) business days of the occurrence, describing the event, its impact on contractual performance, and the expected duration. Failure to provide timely notice shall reduce the claiming party's entitlements under this clause. 14.4 Suspension of Obligations During Force Majeure, the obligations of the affected party shall be suspended to the extent prevented by the Force Majeure event. The Contract period shall be extended by the duration of the Force Majeure event. Performance obligations shall resume once the Force Majeure event ceases and the affected party has had reasonable time to remobilize. 14.5 No Liability for Force Majeure Neither party shall be liable to the other for any loss, damage, delay, or failure to perform caused by or arising from Force Majeure. However, the party claiming Force Majeure shall make all reasonable efforts to mitigate the impact and shall inform the other party of steps being taken to resolve the situation and resume performance. 14.6 Prolonged Force Majeure and Termination If Force Majeure continues for more than ninety (90) consecutive days, either party may terminate this Contract upon thirty (30) days' written notice. In the event of such termination, each party shall bear its own costs incurred to date, and the Contractor shall refund to the Client any advance payments received, less documented costs incurred for design, engineering, and procurement. 14.7 Freight Surcharges Due to Disruptions If Force Majeure events (such as maritime chokepoint closures) require rerouting of shipments via longer routes and cause freight cost increases beyond the original quotation, the Contractor shall notify the Client of additional freight costs within seven (7) days of learning of the disruption. The Client shall either accept the additional freight costs or exercise termination rights under Section 14.6. In no case shall increased freight costs due to Force Majeure-driven rerouting be borne by the Contractor. 14.8 Client Delays and Documentation Obligations Any increase in freight costs, surcharges, or demurrage charges arising from delays caused by the Client’s actions, failure to provide necessary import documentation (customs declarations, permits, etc.), or delays in providing Site readiness shall be borne entirely by the Client. The Contractor shall not bear any such additional costs resulting from Client-induced delays.

15. Penalty Against Delay

15.1 Liquidated Damages for Delay If the Contractor fails to complete the Project within the period stipulated in the Commercial & Technical Proposal (Annex-A), and notwithstanding any other provision in this Contract, the Contractor shall be liable to pay the Client liquidated damages (not penalties) equal to 0.05% of the total Contract price for each calendar day of delay beyond the agreed completion date. The Client reserves the right to deduct any such liquidated damages from any unpaid sum remaining to be paid by the Client. 15.2 Carve-Out for Force Majeure Provided, however, that no liquidated damages shall accrue during any period when: (a) the work is suspended pursuant to Section 10 due to the Client's payment default; (b) the work is suspended or delayed due to Force Majeure events under Section 14; or (c) the Site is not ready for installation as described in Section 3.2. 15.3 Sole Remedy Liquidated damages shall be the Client's sole and exclusive remedy for delay. The Client shall not pursue additional claims for damages beyond liquidated damages unless the Contractor has willfully or grossly negligently caused the delay.

16. Assignment and Sub-letting

The Contractor shall not assign, transfer, or sub-let the Contract or any part thereof, or delegate any material portion of the work, or assign any benefit or interest herein to any third party. This clause expressly means that all work necessary to complete the full Project must be executed by the Contractor itself, its directly employed staff, or authorized sub-contractors expressly approved in writing by the Client in advance. Violation of this clause shall hold the Contractor liable for all loss, damage, liability, or claim incurred by the Client, and the Contractor shall pay full compensation to the Client. The Client may terminate the Contract immediately upon discovering unauthorized assignment or sub-letting.

17. Confidentiality

The Contractor acknowledges that all information relating to this Contract, the Client's property, energy consumption data, system design, and business information is confidential. The Contractor shall not disclose, publish, or make use of any such information except insofar as expressly authorized by the Client in writing.
